Strategist Platform – Terms of Use | User Agreement

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and INTELLIGENXE INC. (“INTELLIGENXE,” “we,” “us,” or “our”) governing your access to and use of Strategist, INTELLIGENXE’s GenAI corporate-strategy platform, made available at intelligenxe.org and at any successor, associated, or redirected URL, together with all related software, models, tools, content, outputs, and services (the “Platform”).

1. Acceptance of These Terms

You accept these Terms when you register for an account on the Platform. Registration requires you to affirmatively indicate your agreement; if you do not agree, do not register and do not use the Platform.

By continuing to access or use the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms govern the Platform only. INTELLIGENXE’s website at intelligenxe.com is governed by separate terms, and Strategist-OSS is governed by its own terms — see §11.3.

2. Eligibility and Authority

You represent and warrant that:

You are at least the age of majority in your jurisdiction; and
You have the legal capacity and authority to enter into these Terms; and
If you are using the Platform on behalf of an entity, you are authorized to bind that entity to these Terms

3. Account Registration

To use the Platform you must create an account and provide accurate registration information, which you agree to keep current.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify INTELLIGENXE promptly at info@intelligenxe.com of any unauthorized use.

Accounts are personal to you. You may not share, transfer, or sell your account or your access to the Platform.

4. License Grant and Permitted Use

Subject to your compliance with these Terms, INTELLIGENXE grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for lawful, internal, and informational purposes.

You shall not:

Copy, modify, distribute, sell, or lease any part of the Platform
Reverse engineer, decompile, or attempt to extract source code, model weights, or prompts
Use the Platform to build a competing product or service
Use the Platform to train or fine-tune any machine-learning model
Use automated systems (bots, scrapers) without authorization
Interfere with or disrupt the integrity or performance of the Platform

5. Informational Use Only; No Professional Advice

The Platform, including all outputs it generates, is provided solely for informational and educational purposes.

Nothing contained on or generated by the Platform constitutes:

Investment advice
Financial advice
Legal advice
Strategic, operational, or professional advisory services

INTELLIGENXE is not a registered broker, dealer, investment advisor, or fiduciary. You are solely responsible for evaluating and verifying any information before relying on it.

No output generated by the Platform is a recommendation to buy or sell any security, and none of it should be relied upon as the basis for any investment decision. Any investment decision you make is your own.

6. No Offer or Solicitation

Nothing on the Platform constitutes an offer, solicitation, or recommendation to buy, sell, or otherwise transact in securities or financial instruments.

7. AI-Generated Content and Accuracy Disclaimer

The Platform utilizes generative artificial intelligence and third-party large language models.

You acknowledge and agree that:

Outputs may be inaccurate, incomplete, or misleading
The Platform may generate “hallucinated” or fabricated information
Outputs are probabilistic and not deterministic
Outputs may contain forward-looking statements, projections, and estimates that involve significant uncertainty
The Platform is experimental and continuously evolving (see §10)

Forward-looking statements are not guarantees of future performance, and actual outcomes may differ materially from those expressed or implied.

INTELLIGENXE makes no representations or warranties regarding the accuracy, reliability, or fitness of any output.

You agree not to rely on the Platform as a sole source of truth or decision-making.

8. User Inputs and Data

8.1 Non-Confidentiality

You acknowledge that any information, data, documents, or content you submit to the Platform (“User Input”):

May not be treated as confidential
May be transmitted to third-party service providers, including AI model providers
May be processed in ways not fully controlled or known by INTELLIGENXE

You agree not to submit any sensitive, confidential, proprietary, or regulated data.

8.2 License to Use Inputs

You grant INTELLIGENXE a worldwide, non-exclusive, royalty-free license to use, process, transmit, and analyze User Input solely for the purpose of operating and improving the Platform.

8.3 Your Responsibility for Inputs

You represent that you have the right to submit any User Input you provide, and that doing so does not violate any law, contract, or third-party right.

9. Feedback

The Platform is experimental, and INTELLIGENXE invites you to submit comments, suggestions, evaluations, bug reports, and other feedback on any feature or output of the Platform (“Feedback”). Feedback is separate from User Input: §8 governs User Input, and this §9 governs Feedback.

You agree that all Feedback is the intellectual property of INTELLIGENXE. You assign to INTELLIGENXE all right, title, and interest in and to the Feedback, including all intellectual property rights, and you waive any moral rights in it to the extent permitted by law. To the extent any such assignment is not effective, you grant INTELLIGENXE a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and commercially exploit the Feedback for any purpose, without attribution or compensation to you.

Feedback is not confidential.

By using the Platform or submitting Feedback, you confirm your agreement to this section. If you do not agree, do not use the Platform and do not provide Feedback.

10. Experimental Stage and No Charge

10.1 Experimental Stage

The Platform is at an experimental stage of development. Its current purpose is testing, innovating, and optimizing the Platform, including through user Feedback under §9.

Accordingly, you acknowledge and agree that:

Features may be added, altered, or removed at any time without notice
Availability, performance, and results are not guaranteed
Run history, stored data, and knowledge-base content may be lost, reset, or become inaccessible
The Platform is provided without any service level, uptime, or support commitment

You should retain your own copies of anything you need.

10.2 No Charge

The Platform is currently non-commercial and is made available to users free of charge.

INTELLIGENXE may introduce paid plans, features, or usage limits in the future. INTELLIGENXE will give notice before doing so, and your continued use of the Platform after any such change is subject to the then-current terms. Free access does not create any entitlement to continued free access, to any particular feature, or to the continued availability of the Platform.

11. Intellectual Property

11.1 The Platform Is Proprietary and Solely Owned

The Platform is proprietary. All intellectual property in the Platform — including its software, models, prompts, workflows, methodologies, interfaces, documentation, and outputs — is private and is owned solely and exclusively by INTELLIGENXE. No other person or entity holds any ownership interest in the Platform.

The Platform incorporates third-party software components that INTELLIGENXE uses under their respective licenses. Those components remain the property of their respective owners. Nothing in this section claims ownership of them, and nothing in their licenses gives any person any right in the Platform itself.

11.2 Restrictions

Except as expressly permitted by these Terms, you may not use INTELLIGENXE’s trademarks, branding, or proprietary materials without prior written consent.

11.3 Strategist-OSS Is a Separate Platform

Strategist-OSS is a different and independent platform from the Platform. It is a secondary project, maintained for experimental and educational purposes, and its source code is published in the INTELLIGENXE GitHub organization at github.com/intelligenxe.

INTELLIGENXE owns all rights in Strategist-OSS. Publishing that code under an open-source license grants rights to others; it does not transfer or diminish INTELLIGENXE’s own ownership, and INTELLIGENXE remains free to use that code in the Platform or elsewhere without restriction.

Any person who uses, copies, or contributes to Strategist-OSS is subject to the Contributor Terms and Conditions and to the license stated in the applicable repository — not to these Terms. Nothing in these Terms grants any right in Strategist-OSS, and nothing in these Terms limits any right granted by those documents.

12. Third-Party Services and Content

The Platform may incorporate or link to third-party websites, data sources, APIs, or services.

INTELLIGENXE:

Does not control or endorse third-party content
Makes no representations regarding its accuracy or legality
Disclaims all liability arising from your use of such third-party services

References to third parties do not imply affiliation, sponsorship, or endorsement.

13. Privacy

INTELLIGENXE does not guarantee the confidentiality or security of any information transmitted through the Platform.

While the Platform does not intentionally deploy cookies, certain technical data (e.g., logs, session data) may be collected as part of normal operation.

Use of the Platform is at your own risk with respect to data privacy.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS.

INTELLIGENXE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIGENXE SHALL NOT BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
ERRORS OR OMISSIONS IN OUTPUTS

ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL INTELLIGENXE’S TOTAL LIABILITY EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

16. Indemnification

You agree to defend, indemnify, and hold harmless INTELLIGENXE and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising from:

Your use or misuse of the Platform
Your violation of these Terms
Your reliance on Platform outputs
Your violation of any law or third-party rights

17. Suspension and Termination

INTELLIGENXE reserves the right, at its sole discretion, to:

Suspend or terminate your account or access to the Platform at any time
Remove or restrict access to content
Take technical or legal measures to enforce these Terms

without notice or liability.

You may stop using the Platform at any time. Sections that by their nature should survive termination — including §9 (Feedback), §11 (Intellectual Property), §14, §15, §16, and §19 — survive.

18. Modifications

We may modify these Terms at any time. Updated Terms will be posted on the Platform with a revised “Last Updated” date and version.

Your continued use of the Platform after Updated Terms are posted constitutes acceptance of them.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

You agree to the exclusive jurisdiction of the courts located in Alberta, Canada.

20. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and INTELLIGENXE with respect to the Platform
Severability: If any provision is found unenforceable, the remainder shall remain in effect
No Waiver: Failure to enforce any provision shall not constitute a waiver
Assignment: You may not assign these Terms without prior written consent
